Chapter 1 General Rules

Article 1 Name

The Chinese Name of this society shall be「澳門大學學生會會計學會」,referring as「澳大學生會會計學會」. The Portuguese name of this society shall be Sociedade de Contabilidade da Associação de Estudantes da Universidade de Macau」,referring as SCAEUM.The English name of this society shall beAccounting Society of University of Macau Students’ Union」,referring asASUMSU」,herein referred to asAS.

Article 2 Address

The address of AS: University of Macau, Av. Padre Tomás Pereira, Taipa, Macau, China.

Article 3 Characteristics

AS subjects to University of Macau Students' Union (herein referred to as UMSU), is an autonomy organization which the administration and treasury are under the supervisory of Board of Director and the election and regulation under the supervisory of the Standing Committee.

Article 4 Objectives

The objectives of AS are:

1. To facilitate the development of accounting student’s Humanity, Integrity, Propriety, Wisdom and Sincerity in accordance with the democratic and autonomous spirit of AS.

2. To cultivate the solidarity among accounting students and foster a sense of belonging to the accounting major, promote the communication and understanding between the accounting students and the non-accounting students who are interested in accounting major; to provide the benefits to the students and behave on the behalf of them.

3. To enhance the academic background of the students and their understanding to the accounting profession; to cultivate the corresponding professional ethics and rules.

4. To establish a favorable collaborating relationship with the other societies in the university and outside organizations.

 

Article 5 Official Language

The official language of AS is in accordance with the official language used by the UMSU.

Chapter 2 Membership

Article 6 Title of membership

The application of membership of AS shall be extended to all UMAC students who are agree with the objectives of AS and will comply with the bylaws of AS.

 

Article 7 Registration of Membership

1. The students who want to be the members of AS shall fill in and sign the application form approved by AS council.

2. All the application shall be approved by the AS council. Final decision of approval will be made by the AS council.

 

Article 8 Lost of the Membership tile

Members will lose their membership titles in any of the following condition:

1. Members shall apply for quit in advance of one month and pay the remaining fees owed to AS. This will only be effective until approved by the AS council.

2. Members fail to pay the membership fees in the period longer than two months. If there are reasonable causes and approved by the AS council, members can remains their titles.

3. Members who are excluded by the AS.

 

Article 9 Rights of the members

The members of AS will have the following rights:

1. The members have the right to electe, be elected and the right to dismiss.

2. The members have the right to deliver any comment in terms of appreciation, criticization,or suggestion towards AS.

3. Attending the general meetings of AS.

4. Using the facilities provided by AS and enjoying the benefits.

5. Participating the activities held by AS

6. Other rights provided by law, articles of association of UMSU, bylaws and supplementary articles of AS.

 

Article 10 Duties of the Members

The members of AS shall have the following duties:

1. Members shall comply with the article of association and regulations of the UMSU; bylaws, supplementary regulations and resoltuions of AS.

2. Members shall actively participate in the activities held by AS, advance the development of AS and promote the collaboration bewteen AS members.

3. Members shall contribute for the development and reputation of AS.

4. Members shall not act in the way that will demage the reputation and interest of AS.

5. Other duties regulated by law, articles of association of UMSU, bylaws and supplementary articles of AS.

 

Article 11 Discipline procedure

1. Members who break the article 10-4 will be instituted the discipline procedure by the following organization or person, and further executed by the Supervisory Board of UMSU:

1) Two thirds of AS council passes the approval of leading to the discipline procedure.

2) More than five percent of the members signed jointly.

 

2. If the conference is requested under the condition of article 11-1-(2), the following procedures should be applied:

1) There should be one to five promotors from the jointly signed members.

2) The promotor(s) should detailly report events requested to be discussed in the signed document.

3) The promotor(s) should estabish the conference agenda with the supervisory of UMSU in terms of the event to be discussed. Final dicision of appoval will be made by the supervisory in condition that the supervisory can illustrate reasons.

 

3. The following punishment will be conducted for the beach of the rules:

1) Oral or written warning.

2) Temporarily suspend their membership of AS.

3) Dismiss the membership of AS.

 

4. The discipline procedure of AS established according to that of UMSU with proper adjustment.

Chapter 3 Executive Board

Artical 12 Administration

The Administration of AS is the Board of Directors.

Artical 13 The Composition and term of the directors

1. The Board of Directors shall be composed of at least 5 directors and with an odd total number of directors, which include a President, a Vice President, a Secretary, a Treasurer, a Vice Treasurer and other directors who are responsible for different affairs. The directors cannot hold the positions in the administration of UMSU or other societies that are affiliated to the UMSU only except if there is a stipulation of the bylaws to the contrary.

2. The term of the members of Board of directors shall be one year and can be re-elected, only the president, vice president, secretary and treasurer can be re-elected just once.

 

Article 14 The call and functioning of General meeting

1. The general meeting shall be called and conducted by the president at least once a month. The general meeting can only be hold with the present of more than 50% of all the directors. If there are no 50% of all the directed present with half an hour, the president shall postpone the meeting and inform all the directors.

2. The date, time and location of the general meeting shall be decided by the president and inform all the directors in at least five days advance.

3. The general meeting passes resolution with the agreement of the absolute majority directors presented. The president will have a casting vote in the resolutions if the absolute majority doesn’t work.

4. During the university holiday which is more than 7 days, the council can decide to temporarily cancel the general meeting during this period.

 

Article 15 The competence of Board of Directors

The Board of Directors will have the following competence:

1. Executing the resolutions passed by the General Assembly, Standing Committee, Board of

 Directors of the UMSU and the societies what AS is affiliated with.

2. Representing AS

3. Acquisition of and charges over the property of AS.

4. Constituting the draft of amendment to the bylaws of AS and submitting the draft to Presidium of General Assembly of UMSU for recording.

5. Constituting the supplementary regulation of AS and submitting the draft to Presidium of General Assembly of UMSU for recording.

6. Organizing and preparing the activities.

7. Establishing the annual working planning and the financial budget and submitting to the Board of Directors of UMSU for approval.

8. Submitting the quarterly working report and financial statement to the Board of Directors of UMSU for approval.

9. Approving the financial expense of AS.

10. Executing the other competence provided by the article of association of UMSU, bylaws and regulations of AS and the societies what AS is affiliated with.

Chapter 4 Officers

Article 16 Duration of term of Officers

1. The directors start undertaking their duties since the day of accession and terminates their duties until the date of expirationresignation and dismission.

2. The term of officers shall be one year, beginning on January 1st and ending on December 31st.

Article 17 Election

1. The committee members of Board of Directors shall be voted by all the members and the meeting of selecting the new committee members shall be held by the current president.

2. The conference shall be held every September to October and the first call can only be effective if there are at least more than 50% of the members present.

3. The President, Secretary and Treasurer shall insure that they can finish all the term under the normal condition during the accession.

4. The first call shall only be held if there are more than 50% of members present, if there are not enough members present, the conference cannot be held. The second call shall be made after half an hour and it will be considered effective no matter how many members present.

5. The result of election shall be declared by the president next day, if there is no exception within two days, then the result shall be submitted to the Presidium of General Assembly of UMSU. The election result will only be effective after the approval of the UMSU.

6. Any exception to the election result is decided by the Election Committee of the UMSU. If there are any disagreements of the result of election or the decision of exception, they make an appeal to the Standing Committee of UMSU.

7. The regulations of election shall be established by internal regulations of the UMSU.

 Article 18 Absence

For the members who cannot undertake the duties temporarily or absent for their position, their corresponding subordinate member shall temporarily represent them for the duties or their corresponding superior members temporarily conduct the duties for them.

Article 19 Resignation

1. The resignation of the committee members of the Board of Directors will take effect only approved by the Board of Director and it shall in accordance with the above provision to select the represented members. Within the 30 days, new members shall be selected and submitted to the Presidium of General Assembly of UMSU for approval.

2. If the vacancy of the position is less than 120 days, there is no need to make a by-election; the represented person shall undertake the duties until the expiration of the term.

 

Article 20 Dismission

1. If the president acted in the way that will endanger the interest of UMSU and AS or made a serious mistake, after the approval of 3/4 of the Standing Committee, the dismission of president will be considered as passed

2. Except the members mention in the above provision, if other committee members acted in the way that will endanger the interest of UMSU and AS or made a serious mistake, after the approval of 3/4 of the Standing Committee, the dismission of these members will be considered as passed.

3. For the substitutions of the dismissed position shall in accordance with the article 18 under the proper situation.

Chapter 5 Treasury

Article 21 Financial provisions

The financial Budget of AS shall be based on the principle of which the expenditure shall be based on the condition of revenue, striving for the balance of revenue and expenditure and avoiding the deficit. All of the expenditures should be in accordance with the Board of Directors’ financial project.

Article 22 Fiscal

AS’s fiscal year shall be on the basis of the UMSU’s fiscal year.

Article 23 Financial Budget

1. The Board of Directors should submit financial budget of the coming year to the Board of Directors of UMSU for approval every October.

2. The financial budget shall list every item of expenditure in detail.

3. If there is any delay of submitting, the Board of Directors shall undertake the consequence of the disapproval of the AS's financial budget by the UMSU.

 

Article 24 Financial Statement

1. Before the end of each quarter, the Board of Directors shall submit the current quarter’s financial statement to the UMSU through its belonging association before the deadline assigned by UMSU.

2. The financial statement should list all items of the revenues and expenditures clearly.

Chapter 6 Temporary Management and Dissolution

Article 25 Dissolution of Board of Directors

1. Board of Directors will be dissolved based on the following situation, with the approval of 3/4 of the Standing Committee of UMSU:

1) Endangering the interest of the UMSU and AS.

2) Making serious mistakes.

3) Seriously breaching the bylaws, internal regulations and official regulations of UMSU, and the supplementary regulations of societies that AS is affiliated with; and the bylaws and supplementary regulation of AS.

2. If there is any exception to the resolution of the Standing Committee of UMSU, they can make an appeal to Presidium of General Assembly of UMSU within 10 days.

3. If there are no less than half of the members of Board of Directors resign, or the president and Vice president resign at the same time, Board of Directors will be dissolved automatically.

 

Article 26 Establishment of temporary Board of Directors

Establish a temporary Board of Directors when all the members of Board of Directors were absent or Board of Directors had been dissolved. The temporary Board of Directors will be provided with the same right and duties as the Board of Directors in order to maintain the normal operation of AS.

Article 27 Members of Temporary Board of Directors

The Temporary Board of Directors consists of three members, including the temporary president, the temporary secretary and the temporary treasurer.

Article 28 Duration of the temporary Board of Directors

The duration of the temporary Board of Directors shall not be more than one year and members of the temporary Board of Directors shall not hold the positions in the administration of UMSU or other societies that are affiliated to the UMSU only except if there is a stipulation of the bylaws to the contrary. The temporary Board of Directors will be dissolved once the new Board of Director is elected.

Article 29 The appointment of temporary Board of Directors

1. When all the members of Board of Directors are absent, they shall appoint the temporary Board of Directors by any means before their leaves. The result of the appointment shall be submitted to the Presidium of General Assembly of UMSU for approval.

2. If the board of directors is dismissed, the temporary board of directors shall be appointed

 by the organization which assessing the dissolve procedure by any means. The result of the appointment shall be submitted to the Presidium of General Assembly of UMSU for approval.

 

Article 30 Dissolution of AS

1. AS will be dissolved in any of the following situations:

1) 3/4 of all the members vote to dissolve.

2) 3/4 of all the members of UMSU approved to dissolve

3) Request submitted by the UMSU to the Standing Committee of UMSU, 3/4 of Standing Committees approved to dissolve.

4) Temporary board of directors operated more than one year.

5) Members of AS cannot achieve the total number of 20 or above in the first three years since establishment. Or all the members of Board of Directors are absent.

6) Neither the temporary Board of Directors is appointed nor is the new Board of Directors elected 90 days after the dissolution of Board of Directors.

7) Less than 20 members in AS in more than 180 days.

 

2. The property of AS shall be settled by the Board of Directors and then submit to the Board of Directors of UMSU for disposal. If the Board of Directors is no longer existed, the Board of Directors of UMSU shall make the settlement for the former.

3 If the dissolution is made under situation 4),5),6),7) mentioned in 1, another 180 days given by the approval of the Presidium of General Assembly of UMSU in special cases.

Chapter 7 Others

Article 31 Amendment of bylaws

1. The articles can be amended based on any of the following situations:

1) Upon the request of Presidium of General Assembly or Board of Directors of UMSU.

2) The approval of 3/4 of the board of Directors of AS.

3) No less than 1/10 of the whole members of AS signed jointly

2. Board of Directors shall be responsible for any suggestions to the amendment of bylaws. The amendment of bylaws can be submitted to the president of Presidium of General Assembly of UMSU only when 3/4 of the Board of Directors had approved.

 

Article 32 Explanation of bylaws

Board of Directors has the responsibility to explain the uncompleted or ambiguous bylaws with the identification of the president of the Presidium of General Assembly of UMSU. Explanations are subject to the bylaws, internal regulations and official regulations of UMSU

Article 33 Supplementary regulations

When the bylaws are uncompleted, the Board of Directors is responsible for the establishment of supplementary regulations and submits them to the president of Presidium of General Assembly of UMSU for recording.
